STANDARD LICENSE AGREEMENT

IMPORTANT: READ CAREFULLY BEFORE USING THIS SERVICE.

By using this Site, you agree to the terms and provisions of this agreement. If you do not agree to the following terms of use, do not use this site.

Baudville grants to you and you accept a license to use, the AWARD MAKER WEBSITE and CONTENT (collectively described as "SERVICE") delivered with this Agreement. For purposes of this agreement the CONTENT includes, without limitation, any images, clipart, and fonts that may be provided on the AWARD MAKER website, or otherwise provided herewith.

Terms of Use: This license permits you to use the AWARD MAKER website service in accordance with the following conditions:

1. Use of the SERVICE is limited to the number of users specified in your purchase agreement.
2. This SERVICE is for use in the transmission of electronic awards and must follow Baudvilles Acceptable Use Policy.
3. Use of the SERVICE is limited to one calendar year from the date of purchase as indicated by the invoice provided by Baudville Inc, and may be automatically renewed upon payment for additional years of use.

You may not, without first purchasing an additional license from Baudville:

1. Exceed the number of users as specified by the purchase agreement.
2. Use the CONTENT for any purpose outside of the AWARD MAKER website.
3. Modify, sell or distribute any CONTENT, or use any of the CONTENT other than to send and report on electronic greetings transmitted solely though this SERVICE.
4. Distribute or publish the CONTENT as part of an electronic document or web page.
5. Rent, lease, time-share, sub-license, or transfer the SERVICE.
6. Modify, translate, adapt, disassemble, decompile, reverse engineer, or in any way copy the source code from this web SERVICE.
7. Copy or emulate in any way the design, layout, or functionality of this SERVICE.

Acceptable Use Policy: AWARD MAKER users are solely responsible for the content of electronic awards delivered through the service, and agree not to transmit through the site any unlawful, harassing, libelous, threatening, harmful, vulgar, obscene statement, or otherwise objectionable communication.

Privacy: Baudville, Inc. does not exercise editorial control over your transmissions; however, we do reserve the right to review your transmissions in order to ensure compliance with this Policy. We do not disclose the contents of any award other than to the creator, except as required by law or a legal proceeding or investigation. Occasionally, in the normal course of business, an employee of Baudville may view the contents of an award while providing technical support or troubleshooting delivery systems, or contents will be scanned for keywords to summarize how, in general, the service is being used.

Except for the incidental printing of web pages and AWARD MAKER transmissions as provided for herein, the images from this Site may not be reproduced in any form without prior written consent from Baudville, Inc.

BAUDVILLE PROVIDES THE SERVICE "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE OR MERCHANTABILITY. IN NO EVENT WILL BAUDVILLE BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, DIRECT OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE USE OF THIS SERVICE. EXCEPT AS PROVIDED FOR HEREIN, THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE PRODUCT IS ASSUMED BY YOU. THIS LICENSE GIVES YOU SPECIFIC RIGHTS AND YOU MAY ALSO HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO STATE. BAUDVILLE'S LIABILITY SHALL NOT IN ANY CASE EXCEED THE PURCHASE PRICE FOR THIS SERVICE.

This license is effective for one calendar year from the date of purchase as indicated on the invoice supplied by Baudville Inc. at the time of purchase. You may terminate the license at any time by discontinuing use of the SERVICE. Baudville has the right to terminate this license immediately if you fail to comply with any term or condition.
